QUESTION 1

Hussin and Hassan are the only shareholders and directors of Hus Has Bhd (HHB). HHB entered a contract with Hardeep for a multimedia project, where HHB must pay Hardeep RM2 million. HHB did not pay Hardeep even though Hardeep has completed the project for HHB. A month later, Hussin and Hassan died when the helicopter that they were travelling in crashed. Hardeep intends to sue Hussin’s wife, Haiza, for the debt which HHB owed to him since Hussin’s wife inherited a lot of property because of Hussin’s death. Haiza is upset and she wants to know if she is liable. Advice Haiza by applying the Companies Act 2016 and relevant cases.

QUESTION 2

XYZ Sdn Bhd owes RM400,000 from the suppliers of the company. The directors of XYZ Sdn Bhd then start a new company, XYZ2 Sdn Bhd, and transfer all assets of the original company to the new company. The original company went bankrupt, and the directors shut the business in that original company. The creditors of XYZ Sdn Bhd wished to sue the directors of XYZ2 Sdn Bhd for the debts of XYZ Sdn Bhd. Advise them.

Konkot Hotels and Resorts Bhd (“KHRB”) is the holding company of Muflis Restaurant Sdn Bhd (“Restaurant”). When the restaurant suffered losses and had to be closed, its workers were retrenched. The workers sought to claim the termination benefits from KHRB. However, KHRB argued that it was not a party to the contract of employment and refused to pay. Advise KHRB with reference to the Companies Act 2016 and any decided case.

Can the court hold Ali and Bala personally liable? Discuss.

QUESTION 5

Zahra Sdn Bhd is a company doing the cleaning and servicing business. Zahra is the majority shareholder of the company, owning 90% of the share capital and another 10% is owned by her husband. Recently, Zahra discovered that her managing director, Tembelang, who was in charge with the Employees Provident Fund (EPF) for workers has failed to remit the contribution to the EPF’s fund. When she questioned Tembelang about the matter, Tembelang denied his liability and put the blame on Zahra as the owner of the company.
Advise Zahra whether she, as the majority shareholder, could sue the managing director personally.
